1. Scope and Parties

1.1 These Terms of Service ("Terms") govern all use of the Gossipic platform and related services ("Service") by customers who qualify as businesses, companies, or professional entities ("Customer"). The Service is intended exclusively for business customers. Use of the Service by individual consumers for personal, non-business purposes is not permitted. By signing up, you represent and warrant that you are acting on behalf of a business entity and not as an individual consumer.

The Customer may use the software solely within the scope of its own business operations and by its authorized personnel (including invited team members). Any further use, in particular by unauthorized third parties or for the provision of services to third parties, shall not be permitted unless expressly agreed in writing with the Provider.

1.2 The Provider and the Customer ("you") agree that only these Terms shall govern the contractual relationship. We do not accept any general terms and conditions of the Customer unless expressly agreed to in writing.

1.3 Any deviating or supplemental terms of the Customer will not become part of the contract unless we have expressly agreed to them in writing.

2. Services Provided by Gossipic

2.1 Core Service: We provide a Software as a Service ("SaaS") platform for AI Engine Optimization ("AEO") that helps brands monitor, track, and improve their visibility in Large Language Model ("LLM") generated responses.

What Gossipic does:

  • Allow users to write and manage prompts they wish to track across LLMs;
  • Run those prompts daily across selected LLMs and geographic locations;
  • Monitor and track the frequency of specific keywords, brand names, or prompts appearing in LLM-generated responses;
  • Provide analytics including visibility scores, sentiment analysis, competitor mentions, URL sources used by LLMs, and search queries utilized;
  • Monitor and record which sources and URLs are cited in LLM-generated responses;
  • Provide AI-generated insights and suggestions to help improve brand visibility in LLM responses.

What Gossipic does NOT do:

  • Directly influence, manipulate, or alter LLM outputs or your brand's visibility in LLMs;
  • Guarantee any specific improvement in rankings, visibility, sentiment, or LLM mentions;
  • Provide professional marketing, SEO, legal, or business advisory services — any recommendations or insights provided by Gossipic are informational only and do not constitute professional advice;
  • Guarantee the accuracy, completeness, or reliability of data generated by third-party LLMs;
  • Guarantee that all LLMs or geographic locations will be available at all times, as these depend on third-party services beyond our control;
  • Assess or analyze data beyond the functionalities expressly described above.

2.2 Provision of Software: Gossipic shall grant the Customer access to and use of the then-current version of the platform via the Internet. The Provider is only obliged to make available the most recent, operational version of the Service at any given time.

2.3 Service Modifications: Gossipic may make reasonable changes to the Service (e.g., to improve performance, add features, or comply with applicable laws) provided such changes do not materially eliminate core features of the Service. We will inform you of any material changes in a timely manner.

2.4 Third-Party Components and LLMs: The Service relies on third-party Large Language Models and their APIs, including but not limited to ChatGPT (OpenAI), Claude (Anthropic), Gemini (Google), DeepSeek, Grok (xAI), Perplexity, Google AI Overview, and Google AI Mode. Availability of these external services is outside of Gossipic's control. If a third-party LLM ceases to be available or changes its functionality, we will inform you and strive to find a suitable alternative where possible. Gossipic expressly reserves the right, at its reasonable discretion, to add, remove, or replace the LLMs and locations used in connection with the Service at any time.

2.5 No Guaranteed Results: Gossipic does not guarantee specific outputs, results, or outcomes from using the Service. The Customer may provide input (e.g., prompts, URLs, brand names, competitor names, location selections) to the Service ("Input") and receive output based on that Input ("Output"). Input and Output are collectively referred to as "Content." The quality and usefulness of the Output depends significantly on the quality and relevance of the Input. Gossipic does not warrant that the Output will meet the Customer's expectations or objectives.

3. Service Availability; Maintenance and Interruptions

3.1 Availability: Gossipic will use commercially reasonable efforts to keep the Service available and operational. However, we do not commit to any specific uptime percentage or service level agreement ("SLA"). The Service may experience occasional downtime due to maintenance, updates, third-party service disruptions, or events beyond our control.

3.2 Maintenance: Gossipic may perform scheduled and unscheduled maintenance on the platform. Where practicable, we will provide advance notice of planned maintenance that may affect Service availability.

3.3 Third-Party Disruptions: Because the Service depends on third-party LLM APIs and infrastructure, we do not warrant that the Service will be completely error-free or uninterrupted. Disruptions to third-party LLMs, API rate limits, or changes in third-party terms are outside our control. We will use commercially reasonable efforts to promptly address any material service issues within our control.

4. Account Registration and Use Requirements

4.1 Account Registration: To use the Service, the Customer must create an account by providing accurate and complete information, including a valid business/company name. You represent and warrant that you are authorized to bind the business entity on whose behalf you are creating the account.

4.2 Team Members: The Customer's account administrator ("Admin") may invite team members to use the Service under the Customer's account, subject to the limits of the applicable subscription plan. The Admin is responsible for managing roles, permissions, and access levels of invited team members. The Customer (and specifically the account owner/Admin) is fully responsible for all actions taken by their invited team members on the platform, including any Input provided and any use or misuse of the Service.

4.3 Account Security: You must keep all login credentials confidential and take reasonable steps to prevent unauthorized access to your account. You must notify us immediately at support@gossipic.com if you become aware of any unauthorized access or security breach. You are responsible for all activity that occurs under your account.

4.4 Acceptable Use: The Customer agrees to use the Service only for legitimate business purposes and in compliance with all applicable laws and regulations. You are responsible for the Input you provide (including the quality and legality of prompts, URLs, and other data). You are further responsible for ensuring that your use of the Content does not violate any applicable laws, governmental orders, or third-party rights. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to the Service.

4.5 Prohibited Uses: You shall not:

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service;
  • Use the Service for any unlawful, fraudulent, or malicious purpose;
  • Attempt to gain unauthorized access to any systems or networks connected to the Service;
  • Use the Service to infringe on any third party's intellectual property or other rights;
  • Resell, sublicense, or provide access to the Service to any unauthorized third party;
  • Use automated scripts, bots, or other means to access the Service outside of its intended interface, except where we have expressly authorized API access.

In the event of a breach of these obligations, Gossipic is entitled to temporarily suspend or restrict your access to the Service, after reasonable notice if feasible, and/or terminate the contract for cause pursuant to Section 10.4 below.

5. Intellectual Property and Data

5.1 Service IP: All intellectual property rights in the Gossipic Service (including the software, platform, algorithms, models, user interface, designs, and documentation) are and remain the exclusive property of Gossipic. The Customer is granted a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term of the contract, solely for the Customer's internal business operations and in accordance with these Terms. No other rights are granted.

5.2 Customer Data: The Customer retains all rights to the data, content, and materials that you provide or upload to Gossipic ("Customer Data"), including your prompts, URLs, brand names, and configuration settings. By providing Customer Data, you grant Gossipic a limited license to process and use that data solely to the extent necessary to provide and operate the Service for you. Gossipic will not use Customer Data for any other purpose, including but not limited to training models, building aggregate datasets, or sharing with third parties, without your prior written consent.

5.3 Data Handling: Gossipic will handle Customer Data in compliance with applicable data protection laws and our Privacy Policy (available on our website). Upon termination of the contract and upon your written request, we will delete your Customer Data that remains stored with us within a reasonable period, except to the extent we are legally required to retain it or the data has already been anonymized and aggregated in a non-identifiable manner.

5.4 Output Ownership: The Output generated by the Service (e.g., analytics, visibility scores, sentiment reports, insights) is provided for the Customer's use. However, the Customer acknowledges that the Output is derived from third-party LLM data and Gossipic's proprietary algorithms. The Customer may use the Output for its internal business purposes. Gossipic retains all rights to its proprietary methodologies and algorithms used to generate the Output.

6. Fees, Payment Terms, and Paddle

6.1 Subscription Plans: The Service is offered under the following subscription tiers: Starter, Growth, and Pro (collectively, "Plans"). The specific features, limitations, and pricing for each Plan are as described on our website at gossipic.com/pricing. Gossipic reserves the right to modify its Plans and pricing from time to time, subject to Section 6.5 below.

6.2 Billing Cycles: Subscriptions are available on a monthly or annual billing basis. Annual subscriptions receive a 10% discount off the equivalent monthly pricing. All prices displayed on our website are exclusive of applicable taxes unless otherwise stated.

6.3 Merchant of Record — Paddle: All payment processing for the Service is handled by Paddle.com Market Limited (or its affiliates) ("Paddle"), which acts as our Merchant of Record. This means:

  • When you subscribe to a paid Plan, your purchase transaction is processed by Paddle. Paddle is the entity that charges you, handles invoicing, collects applicable taxes (VAT, sales tax, GST, etc.), and processes payments on our behalf.
  • By subscribing, you agree to Paddle's terms of service and privacy policy in addition to these Terms, to the extent they relate to payment processing. Paddle's terms can be found at paddle.com.
  • All billing inquiries, payment disputes, invoice requests, and tax-related questions should be directed to Paddle, unless otherwise instructed by us.
  • Gossipic is not responsible for any errors, delays, or issues caused by Paddle's payment processing systems.

6.4 Payment Failure and Suspension: If a payment fails or is declined, Paddle and/or Gossipic may attempt to retry the payment. If payment remains unsuccessful after reasonable retry attempts, Gossipic reserves the right to suspend or downgrade your access to the Service until the outstanding amount is resolved. Continued failure to pay may result in termination of your account pursuant to Section 10.4.

6.5 Price Changes: Gossipic may change subscription pricing from time to time. We will provide at least 30 days' prior written notice (via email or in-app notification) before any price change takes effect. Price changes will apply to your subscription at the start of your next renewal cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the renewal date.

6.6 No Set-Off: The Customer may only set off counterclaims against Gossipic's payment claims if those counterclaims are undisputed by Gossipic or established by a final, binding court order or arbitral award.

7. Free Trial

7.1 Trial Access: Gossipic offers new Customers a free trial period of seven (7) days ("Trial Period"). A valid payment method (credit card or debit card) is required to activate the Trial Period.

7.2 Scope: During the Trial Period, the Customer may access and evaluate the Service. The trial may be subject to limitations on features, usage, or functionality as determined by Gossipic at its discretion.

7.3 Conversion to Paid Subscription: At the end of the Trial Period, your subscription will automatically convert to the paid Plan you selected at signup, and your payment method on file will be charged accordingly through Paddle. If you do not wish to continue, you must cancel your subscription before the Trial Period expires to avoid being charged.

7.4 No Refunds After Trial: Once the Trial Period ends and your paid subscription begins, no refunds will be issued. It is your responsibility to evaluate the Service during the Trial Period and cancel before it expires if the Service does not meet your needs.

7.5 Limitations: Gossipic reserves the right to modify, limit, or discontinue the free trial offer at any time. Each Customer is eligible for only one Trial Period. Abuse of the free trial (e.g., creating multiple accounts) may result in immediate termination of your account.

8. Warranty and Disclaimers

8.1 "As-Is" Service: The Service is provided on an "as-is" and "as-available" basis to the maximum extent permitted by applicable law. Gossipic makes no warranties or representations, express or implied, regarding the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement.

8.2 No Guarantee of Results: Gossipic does not warrant or guarantee that:

  • The Service will meet your specific requirements or expectations;
  • The data, analytics, scores, or insights provided will be accurate, complete, or reliable;
  • The Service will be uninterrupted, timely, secure, or error-free;
  • Any particular level of visibility, sentiment, or mention frequency will be achieved in any LLM;
  • The AI-generated recommendations or suggestions will produce any specific outcome.

8.3 Third-Party Dependencies: The accuracy and availability of the Service's Output depends on third-party LLMs and their APIs, which are beyond Gossipic's control. Changes in LLM behavior, API availability, rate limits, or data access may impact the Service and its Output.

8.4 Notification of Defects: The Customer shall notify Gossipic without undue delay of any defects, bugs, or disruptions of the Service upon their discovery, providing a clear and comprehensible description of the issue. Failure to provide timely notification may limit your available remedies.

9. Limitation of Liability

9.1 Liability Cap: To the maximum extent permitted by applicable law, Gossipic's total aggregate liability to the Customer for any and all claims arising out of or related to these Terms or the Service — whether in contract, tort (including negligence), or otherwise — shall not exceed the total amount paid by the Customer to Gossipic (via Paddle) during the one (1) month immediately preceding the event giving rise to the claim.

9.2 Exclusion of Consequential Damages: To the maximum extent permitted by applicable law, in no event shall Gossipic be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, business, goodwill, or anticipated savings;
  • Loss of data or data corruption;
  • Cost of procuring substitute services;
  • Damages arising from reliance on any Output, analytics, recommendations, or insights provided by the Service; regardless of whether Gossipic has been advised of the possibility of such damages.

9.3 Exceptions: Nothing in these Terms shall exclude or limit Gossipic's liability for:

  • Fraud or willful misconduct;
  • Death or personal injury caused by Gossipic's negligence;
  • Any other liability that cannot be excluded or limited under applicable law.

9.4 Indemnification by Customer: The Customer shall indemnify and hold Gossipic harmless from any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • The Customer's breach of these Terms;
  • The Customer's unlawful use of the Service;
  • The Customer's Input or Content that infringes any third-party rights;
  • Any actions taken by the Customer's team members on the platform; to the extent the Customer is responsible for such breach or action.

10. Term and Termination

10.1 Contract Term: The contract begins when the Customer accepts these Terms and creates an account. The term corresponds to the billing cycle selected by the Customer (monthly or annual).

10.2 Auto-Renewal: Subscriptions will automatically renew at the end of each billing cycle (monthly or annually, as applicable) at the then-current pricing, unless canceled by the Customer before the renewal date.

10.3 Cancellation by Customer:

  • Monthly subscriptions may be canceled at any time. Upon cancellation, the Customer retains access to the Service until the end of the current paid billing period. No refunds or credits will be issued for the remaining period.
  • Annual subscriptions may be canceled at any time. Upon cancellation, the Customer retains access to the Service until the end of the current annual billing period. No refunds or credits will be issued for the remaining period.

10.4 Termination for Cause: Either party may terminate the contract with immediate effect for material cause, including but not limited to:

  • By Gossipic: The Customer's serious or repeated breach of these Terms (including misuse of the Service or persistent non-payment) that is not cured within fifteen (15) days after written notice; the Customer's insolvency or filing for bankruptcy; or abuse of the free trial or Service.
  • By Customer: Gossipic's material and persistent failure to provide the Service, which is not remedied within thirty (30) days after written notice from the Customer.

10.5 Suspension: Gossipic reserves the right to immediately suspend or restrict access to the Service, without prior notice if necessary, in the event of:

  • Suspected unauthorized access or security breach;
  • Violation of acceptable use policies;
  • Non-payment of fees;
  • Any activity that may cause harm to Gossipic, the Service, or other users.

10.6 Effects of Termination: Upon termination or expiration:

  • Gossipic will deactivate the Customer's account and cease providing the Service;
  • The Customer's right to access and use the Service terminates immediately (or at the end of the paid period in the case of Section 10.3);
  • Gossipic may delete Customer Data after a retention period of thirty (30) days following termination, except for data we are legally required to retain;
  • The Customer may request export of their data during this 30-day window;
  • Any provisions that by their nature are intended to survive termination (including Sections 5, 6.6, 8, 9, 12, and 14) shall continue in full force and effect.

11. Data Protection and Privacy

11.1 Gossipic collects, processes, and stores personal data and Customer Data in accordance with our Privacy Policy, available at gossipic.com/privacy.

11.2 Customer Data is hosted on infrastructure provided by Supabase with servers located in the United States. By using the Service, the Customer acknowledges and consents to the transfer and processing of data in the United States.

11.3 Gossipic does not sell, share, or use Customer Data for purposes beyond providing the Service, unless required by law or with the Customer's prior written consent.

12. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.

12.2 Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good-faith negotiations between the parties for a period of thirty (30) days from written notice of the dispute. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be:

  • Conducted by a sole arbitrator mutually appointed by the parties, or, failing agreement, appointed in accordance with the Act;
  • Held in New Delhi, India;
  • Conducted in English;
  • The arbitral award shall be final and binding on both parties.

12.3 Jurisdiction: Subject to the arbitration clause above, the courts of Gurugram, Haryana, India shall have exclusive jurisdiction over any matters not subject to arbitration or for the enforcement of any arbitral award.

12.4 Injunctive Relief: Nothing in this Section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

13. Reference Use

13.1 Gossipic may publicly refer to the Customer as a client for marketing and promotional purposes. In particular, Gossipic may use the Customer's company name, logo, and general branding in reference lists, on its website, in presentations, case studies, and in other marketing materials (both online and offline), provided this is done in a factual and appropriate manner.

13.2 This right shall survive the termination of the contract, unless the Customer objects to such use in writing (via email to support@gossipic.com) for legitimate reasons, in which case Gossipic will remove the Customer's references within a reasonable period.

13.3 Gossipic will not disclose any confidential business information of the Customer in this context.

14. Final Provisions

14.1 Changes to Terms: Gossipic reserves the right to modify or update these Terms from time to time. We will notify the Customer via email or in-app notification at least 30 days before any material changes take effect. Continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

14.2 Entire Agreement: These Terms, together with our Privacy Policy and any order or subscription confirmation, constitute the entire agreement between Gossipic and the Customer regarding the Service. There are no side agreements or representations other than those expressly set forth herein. Any amendments or additions to these Terms must be made in writing (including email).

14.3 Severability: Should any provision of these Terms be or become invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. In place of the invalid provision, a valid provision that most closely reflects the original economic intent shall be deemed agreed.

14.4 Assignment: The Customer may not assign or transfer these Terms or any rights or obligations hereunder without Gossipic's prior written consent. Gossipic may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

14.5 Waiver: No failure or delay by Gossipic in exercising any right under these Terms shall constitute a waiver of that right.

14.6 Notices: All notices under these Terms shall be in writing and sent via email. Notices to Gossipic shall be sent to support@gossipic.com. Notices to the Customer shall be sent to the email address associated with the Customer's account.
